IMPORTANT NOTICE: BINDING ARBITRATION & CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. By accessing or using the Site or Services, you agree that most disputes between you and the Company will be resolved by binding arbitration on an individual basis and you waive the right to participate in a class action, as described in Section 24 and Section 25.

1) Definitions

For purposes of these Terms:

“Account” means a registered user account used to access member features.
“Content” means all materials made available on or through the Site or Services, including text, documents, templates, checklists, spreadsheets, videos, audio, webinars, presentations, posts, tools, and recordings.
“Member” means a User who has purchased or otherwise received access to membership Services.
“Partner” / “Third-Party Provider” means any third party whose products, programs, platforms, tools, or services may be referenced, introduced, linked, or otherwise made available through the Services.
“Services” means the Company’s membership offerings, educational materials, forums, live calls, events, and any other features provided through the Site.
“Site” means the website(s) and associated portals operated by the Company.
“User” / “you” means any visitor, user, or Member who accesses the Site or Services.
“User Content” means any content you submit, upload, publish, or transmit through the Services (including forum posts and call/chat submissions).

2) Agreement to These Terms

By accessing or using the Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein (including the Privacy Policy). If you do not agree, do not use the Site or Services.

3) What FintechNPA Is

FintechNPA is a membership-based education and information organization that provides training, resources, community, and access pathways related to financial literacy and institutional-style practices.

FintechNPA may also provide introductions or references to Partners and Third-Party Providers whose programs, tools, or services may be relevant to Members.

4) The Financial Layer: Disclosures, No Advice, No Offer, No Custody

4.1 Educational Purposes Only — Not Advice

All Content and Services are provided for general educational and informational purposes only. Nothing on the Site or in the Services constitutes:

investment, legal, tax, accounting, or financial advice;
a recommendation to buy, sell, hold, or transact in any security, cryptocurrency, derivative, commodity interest, or other instrument;
personalized advice based on your circumstances.

You are solely responsible for evaluating your objectives, risk tolerance, and decisions, and for seeking advice from licensed professionals where appropriate.

4.2 No Broker, No Adviser, No Fiduciary

FintechNPA is not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, introducing broker, bank, money transmitter, escrow agent, or fiduciary. FintechNPA does not act as an agent for you with respect to transactions or investments.

4.3 No Offer or Solicitation

Nothing on the Site or in the Services is intended as (or should be construed as) an offer to sell or a solicitation of an offer to buy any financial product or service, security, or instrument, or as an invitation or inducement to engage in any banking or investment activity.

4.4 No Custody of Funds or Assets

FintechNPA does not take custody of Member funds, does not hold Member assets, does not accept deposits, and does not operate client accounts. Any movement of funds or participation in third-party programs occurs directly between you and the applicable Third-Party Provider under that provider’s terms.

4.5 Performance, Targets, Examples, and “Institutional” References

Any returns, yields, targets, projections, case studies, charts, or examples discussed are illustrative and may reflect hypothetical assumptions. Past results are not indicative of future results. No outcomes are guaranteed. Market and execution risks can result in partial or total loss.

References to “institutional,” “bank,” “family office,” “insider,” “private,” “exclusive,” or similar terms are descriptive and do not imply a regulated role, endorsement, affiliation, or guaranteed access.

4.6 Third-Party Programs, Local Terms Prevail

If you access, enroll in, or use any Partner or Third-Party Provider program, platform, tool, or service:

your relationship is with that provider;
the provider’s terms, disclosures, and policies apply; and
those provider terms control for that program and supersede these Terms where they conflict.

FintechNPA is not responsible for Third-Party Providers’ actions, performance, availability, pricing, outcomes, compliance posture, or disputes.

4.7 Jurisdiction and Eligibility

Some products, services, or information referenced through the Services may not be available in all jurisdictions or to all persons. You are responsible for complying with your local laws and determining whether access or participation is lawful where you reside.

5) Eligibility and Age Restriction

You must be at least 18 years of age to use the Services, create an Account, or purchase a membership. By using the Site or Services, you represent and warrant you meet this requirement.

6) Account Registration and Security

To access certain Services, you may be required to create an Account. You agree to:

provide accurate, current, and complete information;
maintain and promptly update your information;
keep your credentials confidential; and
notify us immediately of any unauthorized use.

You are responsible for all activity under your Account.

7) Memberships, Billing, Renewals, and Refund Policy

7.1 Membership Plans

FintechNPA offers monthly and annual memberships and may offer additional paid products (courses, events, or premium services). Details and pricing are presented at checkout or on plan pages.

7.2 Payment Authorization

By purchasing, you authorize FintechNPA (and our payment processor) to charge your payment method for the plan selected, including applicable taxes.

7.3 Renewals

Monthly plans renew each month on the same calendar day (or closest practical day) unless canceled.
Annual plans renew yearly on the anniversary date unless canceled.

You are responsible for managing cancellations before the renewal date.

7.4 14-Day Refund Window

Refunds are available only within fourteen (14) days of the initial purchase of a membership plan, unless otherwise required by applicable law. After 14 days, no refunds are provided.

Refund requests must be submitted to: corporate@fintechnpa.com with your Account email and purchase details. We may deny refund requests for suspected fraud, abuse, or policy violations.

7.5 Chargebacks

Unauthorized chargebacks or payment disputes may result in suspension or termination of your Account. You remain responsible for any fees, costs, or amounts owed to the extent permitted by law.

8) Forums and Live Calls (Community Features)

8.1 Community Conduct

Forums and live calls are for discussion and education. You agree to communicate respectfully and comply with these Terms.

8.2 No Professional Relationship Created

Participation in forums or live calls does not create an adviser-client, attorney-client, fiduciary, or other professional relationship.

8.3 Do Not Share Sensitive Credentials

Do not post or disclose:

passwords, private keys, seed phrases, or authentication codes;
bank account numbers, full credit card numbers, or other sensitive personal data.

8.4 Recording and Re-Use

Live calls may be recorded for quality, training, and member access, where permitted by law. By participating, you consent to recording and the use of your audio/video/chat contributions in member replays and internal operations, unless prohibited by law. If you do not consent, do not participate.

9) Acceptable Use

You agree not to use the Site or Services to:

violate any law, regulation, or court order;
commit fraud, misrepresentation, or deception;
harass, threaten, defame, or discriminate;
distribute malware, spam, or unauthorized advertising;
attempt unauthorized access, scraping, or reverse engineering;
interfere with security features or system integrity;
impersonate another person or misrepresent affiliation.

We may suspend or terminate access for violations.

10) Intellectual Property

The Site, Services, and all Company Content are owned by FintechNPA or licensed to us and are protected by intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal use (or internal business use if explicitly permitted) during an active membership, subject to these Terms.

Restrictions

You may not copy, reproduce, distribute, resell, publish, publicly display, create derivative works, or exploit the Content except as expressly allowed in writing.

11) User Content License

You retain ownership of your User Content. By submitting User Content, you grant FintechNPA a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and distribute your User Content as necessary to operate, maintain, improve, and promote the Services.

We may remove User Content that violates these Terms or applicable law.

12) Privacy and Cookies

Your use of the Services is also governed by our policies:

13) Third-Party Links, Tools, Data, and No Endorsement

The Services may include third-party links, integrations, embeds, tools, calculators, market data, software, or content. FintechNPA does not control third parties and is not responsible for their content, accuracy, availability, terms, or practices. Your use of third-party services is at your own risk.

No Endorsement / Logos: Any third-party names, marks, or logos displayed are the property of their respective owners and do not imply endorsement, sponsorship, affiliation, or partnership. They may be used solely for reference to tools, platforms, or services that may be discussed by the Company or used by Third-Party Providers.

14) Security and Communications

You agree to use reasonable measures to secure your devices and Account. Do not send sensitive personal or financial credentials through ordinary email. We may provide secure channels from time to time.

You consent to receive electronic communications (email, portal notices, and other messages) regarding your Account, membership, and updates.

15) Disclaimers of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTECHNPA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, timely, secure, or that defects will be corrected.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTECHNPA (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.

IN ALL CASES, FINTECHNPA’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT PAID BY YOU TO FINTECHNPA IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the fullest extent permitted by law.)

17) Indemnification

You agree to defend, indemnify, and hold harmless FintechNPA from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

your use or misuse of the Site or Services;
your violation of these Terms;
your User Content; or
your interactions with Third-Party Providers.

18) Suspension and Termination

We may suspend or terminate your access (with or without notice) for violations, security concerns, suspected fraud, or other reasons in our discretion.

You may cancel membership at any time via your Account settings or by contacting support at corporate@fintechnpa.com. Cancellation stops future renewals but does not automatically entitle you to a refund beyond the 14-day policy.

Sections that by their nature should survive termination will survive.

19) Modifications to Services and Terms

We may change the Site, Services, pricing, features, or these Terms at any time. Updated Terms become effective when posted. Your continued use after changes constitutes acceptance.

20) Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

21) Informal Dispute Resolution

Before initiating arbitration, you agree to contact us at corporate@fintechnpa.com with a description of your dispute and your preferred resolution. The Parties will attempt to resolve the matter in good faith within 30 days.

22) Binding Arbitration (AAA)

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”), under its applicable rules.

Location: Wyoming (or remote video arbitration where permitted)
Arbitrator: single neutral arbitrator
Authority: arbitrator may award only individual relief and may not award punitive damages or certify a class unless required by law.

Each party bears its own attorneys’ fees and costs unless applicable law or AAA rules provide otherwise.

23) Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights, prevent unauthorized access or misuse, or address security breaches, without waiving arbitration for other claims.

24) Class Action Waiver

YOU AND FINTECHNPA AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

25) Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

26) No Waiver

Failure to enforce any provision is not a waiver of that provision or any other.

27) Assignment

You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, restructuring, or sale of assets.

28) Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including acts of God, natural disasters, internet outages, labor disputes, and governmental actions.

29) Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any posted policies or checkout terms, constitute the entire agreement between you and FintechNPA regarding the Site and Services and supersede prior understandings.
